1. Description of Service, Cloud Architecture & Beta Status

Got Simplified operates a cloud-native platform hosting remote Model Context Protocol (MCP) tools, asynchronous automation workflows, analytical repositories, and productivity microservices (collectively, the "Services").

Remote Processing & Online Storage Notice: Our Services do not run as local binaries on your computer. All computational workloads, script parsing, database queries, and background pipelines are processed remotely on our cloud infrastructure, and all customer data records are stored in remote cloud databases. You connect to these Services through authenticated HTTPS or Server-Sent Events (SSE) endpoints.

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, THE SERVICES, PLATFORM, TOOLS, APIS, AND DOCUMENTATION ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Got Simplified LLC expressly disclaims all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and accuracy. We do not warrant that:

• The Services will meet your specific business or technical requirements;
• Access will be uninterrupted, timely, secure, or defect-free;
• Data stored in our cloud databases or Iceberg data lake will remain permanently accessible or uncorrupted;
• Bugs, errors, or security vulnerabilities will be identified or corrected within any specific timeframe.

5. Limitation of Liability & Monetary Cap

Exclusion of Consequential & Indirect Damages: Under no legal theory—whether in contract, tort (including negligence), strict liability, breach of warranty, or otherwise—shall Got Simplified LLC, its directors, officers, employees, contractors, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages, including without limitation damages for lost profits, loss of goodwill, loss of business reputation, loss of data, loss of revenue, work stoppage, computer failure, or costs of procuring substitute services, even if advised of the possibility of such damages.

Monetary Cap on Liability: In no event shall the total aggregate liability of Got Simplified LLC arising out of or related to these Terms or your use of the Services exceed the greater of:

Some jurisdictions do not permit the exclusion of certain warranties or limitation of liability for certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

6. User Responsibilities & Acceptable Use

You are solely responsible for all actions taken through your account credentials and API tokens. You represent and warrant that you will not, directly or through automated scripts/agents:

• Upload, ingest, or transmit files containing malware, viruses, worms, Trojan horses, or malicious payloads;
• Use the Email tool to send unsolicited bulk communications (spam), phishing campaigns, or fraudulent solicitations;
• Engage in unauthorized penetration testing, vulnerability scanning, denial-of-service (DoS/DDoS) attacks, or stress-testing against our gateway or workers without prior written authorization;
• Attempt to reverse-engineer, decompile, or extract the source code or proprietary schemas of our backend orchestration infrastructure;
• Attempt to bypass multi-tenant isolation, circumvent plan quotas, or access another user's private data lake or storage vault;
• Use the Services to violate any local, state, federal, or international law, export control regulation, or intellectual property right.

Got Simplified LLC reserves the right to immediately suspend or permanently revoke access and terminate accounts found violating these rules without refund or prior notice.

7. Data Ownership & Intellectual Property

• No Resale, Intermediation, or Multi-Tenant Multiplexing: You shall not sublicense, resell, lease, rent, redistribute, white-label, or act as a commercial intermediary or middleman for the Services or APIs without our express prior written agreement. You may not multiplex, funnel, or pool multiple third-party end users through a single account or token to circumvent per-user registration, tenant isolation, or usage-tier thresholds.
• Upload, ingest, or transmit files containing malware, viruses, worms, Trojan horses, or malicious payloads;
• Our Platform: Got Simplified LLC retains all rights, titles, copyrights, trademarks, and interests in and to the platform, user interfaces, website design, documentation, backend APIs, orchestration logic, and brand assets.

8. Billing, Subscriptions & Cancellations

• Billing Entity: All paid subscriptions and metered usage are billed by Got Simplified LLC. Charges on your bank or credit card statement will appear under the corporate name "Got Simplified LLC" or "Got Simplified LLC / MCP".
• Metered Usage: Usage beyond free-tier thresholds (compute execution runtime, cloud storage consumption, and email volumes) is metered and charged according to our published rates.
• Cancellation: You may cancel your subscription at any time. Cancellations become effective at the conclusion of your current billing period. Outstanding metered compute or storage charges accumulated prior to cancellation remain payable.

9. Indemnification

You agree to defend, indemnify, and hold harmless Got Simplified LLC, its officers, directors, members, employees, and agents from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or legal fees (including reasonable attorneys' fees) arising out of or relating to:

• Your breach or alleged violation of these Terms;
• Your Customer Data, files, or payloads (including claims of copyright infringement or defamation);
• Your use or misuse of AI tools and agent outputs;
• Your violation of any applicable law, regulation, or third-party right.

10. Governing Law, Dispute Resolution & Jurisdiction

These Terms and any dispute arising out of or related to your use of the Services shall be governed by, construed, and enforced in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

You irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located within the State of Illinois for any legal action or proceeding arising under or in connection with these Terms, and you waive any objection regarding inconvenient forum.

11. Modifications to Terms

We reserve the right to amend, update, or replace these Terms at any time in our sole discretion. Any modifications become effective upon publication with an updated effective date. Your continued access to or use of the Services following the posting of amended Terms constitutes your binding agreement to the changes.
